Governance & Institutional Integrity  
   
This structure defines how decisions are made, who holds authority, and how the institution maintains neutrality across regions and sectors.   

1. Founding Office  
   
The Founding Office—led by the Founder—safeguards the institution’s origin, mission, and identity. The Founder establishes the global mandate, authorizes strategic partnerships, and ensures ethical and cultural alignment across all initiatives.  
   
Checks & Institutional Balance: While the Founding Office maintains the institution’s mission, the Governing Board provides independent oversight to ensure balanced, accountable, and transparent decision-making as the organization evolves.  

2. Executive Leadership 
   
Executive Leadership oversees the operational and programmatic execution of Global Black Business & Culture Week and all institutional initiatives, including management of programming, partnerships, communications, finance, governance, and multinational convening activations. 
   
3. Governing Board (Fiduciary Oversight  
   
The Governing Board provides independent fiduciary oversight, risk management, and strategic stewardship for Global Black Billionaires® and its convenings. It approves major financial decisions, reviews institutional performance, and safeguards the Global Black Billionaires® mission and ethical standards. The Board meets quarterly to review operations, partnerships, and long-term strategy.  
   
4. Global Advisory & Vision Council 
   
A distinguished body of global leaders providing cross-sector expertise, strategic vision, and creative guidance to the Global Black Billionaires® Executive Leadership and Board of Directors.  
   
Members are selected for geographic diversity, sector excellence, and alignment with the Global Black Billionaires® mission, ensuring representation across North America, Europe, Middle East, Africa, and the Caribbean in sectors such as finance, entertainment, fashion & beauty, technology, culture, and innovation.  
   
5. Governance Charter & Decision Making
   
The Governance Charter defines institutional roles, decision-making frameworks, operational protocols, and ethical standards. It ensures transparency, accountability, and long-term continuity.

  • Governing Board: 3-year renewable terms
  • Advisory & Vision Council: 2-year renewable terms
  • Regional Chairs: 2-year terms with performance review
  • Executive Leadership: reviewed annually

The Global Black Billionaires® maintains full transparency through:

8. Role Separation & Institutional Clarity 

  • The Advisory & Vision Council provides strategic guidance only.
  • Executive Leadership manages operations and program delivery.
  • Governing Board oversees fiduciary accountability and approves major decisions.
  • This clear separation preserves operational efficiency and prevents overlap. 

9. Governance Policies & Accountability Framework
   
To maintain global transparency, institutional integrity, and world-class standards, the Global Black Billionaires® adopts a comprehensive governance policy framework aligned with international best practices.  
   
A. Fiduciary Duties of the Governing Board 
   
All Board Members operate under three core fiduciary duties:    

  • Duty of Care – making informed decisions, reviewing financials, and exercising responsible oversight.
  • Duty of Loyalty – avoiding conflicts of interest and acting solely in the Global Black Billionaires® best interest.
  • Duty of Obedience – ensuring all actions align with the Global Black Billionaires® mission, charter, and legal requirements.

These duties protect the institution’s long-term credibility and mission integrity.  
   
B. Conflict of Interest & Ethical Standards

  • To uphold neutrality and safeguard institutional trust
  • All Board, Council, and Leadership members submit annual conflict-of-interest disclosures
  • Members must recuse themselves from decisions where personal interest may interfere
  • A Code of Ethics governs conduct, partnerships, and decision-making
